Job Specification
In this role, you will report directly to the Head of Governance Practice You will be responsible for ensuring that the business's clients meets its regulatory obligations, as well as maintaining high standards of corporate governance. You will: · Convene and service board and senior leadership meetings - producing agendas, collating papers, taking Minutes, conveying decisions, oversee Board and Committee effectiveness reviews and handling correspondence in line with expectations set out in the Company’s governance framework · Ensure meetings function efficiently and effectively, with actions followed through to completion. · Take responsibility for the administration of Client's records, including share registers, annual declarations, and registers of members and directors. · Maintain and file accurate and complete regulatory documentation and ownership information for clients on a timely basis with Companies House, banks and funders, and any other regulator or body that requires it · Assist with essential quarterly and annual financial document filings with the regulators, Companies House, and HMRC for clients. · Liaise with external advisers, such as auditors and solicitors to keep up to date with statutory and regulatory policy changes, furnish strategic advice, impact assess changes required and facilitate updates to the governance framework. · Knowledgeable of UK Corporate Governance Code, applicable UK laws, and UK regulations. UK Financial Sector regulations including the Senior Manager and Certification Regime (“SMCR”) would be desirable but not essential. · Business Support working with business process owners to adopt best practices and promote adherence to existing policies and the Company’s Governance Framework.
